CONTRACT OF LICENSING OF PHONOGRAMS

This contract is recognized and understood by

known in this contract like Licensor and Alexandre de Charrin, known in this contract like Licensee, owner of label APNEA.

OBJECT OF THE CONTRACT

Clause 1. By this contract the Licensor above named, guarantees the license to use their phonograms, listed in the Section B (Tracklist) of this agreement, for the manufacture, distribution and sale of digital files. The Licensor is, and remains, the owner of these phonograms.
Licensor warrants to Licensee the right to use these phonograms in the following ways:

For public playback of the phonogram in events where Apnea is the main stakeholder.  

For digital distribution on the following platforms:
○ Spotify [http://spotify.com/]  
○ Bandcamp [https://apnearecords.bandcamp.com/]  
○ Soundcloud [https://soundcloud.com/]  
○ Beatport [https://www.beatport.com/]  
○ Juno Records [https://www.juno.co.uk/] and all platforms included in Forward Distribution contract.  

Clause 2. Licensee will release the digital files in the formats provided by the distribution platforms, as specified in Clause 1. Licensor can’t sell the music by himself during 1 year and leaves the exclusivity of the release to Apnea during this time.

Clause 3. Licensor warrants that his work is unique and does not contain unauthorized work. This work does not infringe or violate the intellectual property laws.

Clause 4. The phonograms listed in Section B may not be used in a way that can jeopardize the intellectual property rights or reputation of the Licensor.

Clause 5. No modification may be made to the phonograms by the Licensee. Equally, no modification to the cover art is permitted.
PAYMENT OF SALES

Clause 6. Licensee shall submit to Licensor within 90 days from the last date of accounting closing of months: April, August and December of each year payment for sales, provided that it is greater than or equal the amount of €100,00 (hundred euro). If this amount is not reached, it will be in possession of the Licensee until it reaches the value or for a maximum period of 1 (one) year, all payments made through PayPal to

Clause 7. Licensor and Licensee will share profits as follows:

Licensee: 50% 
Licensor: 50% 

Clause 8. Licensee refers to the Licensor within up to 90 days from the last day of the month of March; June; September or December of each year, a statement explaining in detail the information on the royalties received in that previous period and including without limitation of generality, the number of copies of each recording, (computing the base price and the consumer price), the artist name and the title of the recording.
TERMINATION OF CONTRACT

Clause 10. Any use of the phonograms that is not defined in this document must be defined in a new agreement. Use of the phonograms that has not been defined, discussed or agreed upon will remove any rights provided to the Licensee.

GENERAL CONDITIONS

Clause 11. This agreement will become effective upon signature by both contracting.

FINAL PROVISIONS

The parties identified at the beginning of this document agree to the terms and conditions defined in this document.
